1. Acceptance of these terms
These Terms of Service ("Terms") form a binding agreement between you and Maitu Co., Limited, a company incorporated in the Hong Kong Special Administrative Region ("Maitu", "we", "us"), and govern your access to and use of:
- the website published at mengtuyx.com (the "Website");
- the Maitu mobile management application distributed through the Apple App Store and Google Play (the "App"); and
- any related services, dashboards, workspaces or documentation that we provide (together, the "Services").
By creating an account, installing the App, or otherwise using the Services, you accept these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree with any part of these Terms, you must not use the Services.
If you use the Services on behalf of a company or organisation, you confirm that you are authorised to bind that entity, and "you" refers to that entity. Where a separate signed services agreement or statement of work exists between you and Maitu, that agreement prevails over these Terms for the services it covers.
2. Eligibility and age
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to enter into a binding agreement under these Terms. If you are between 13 and 17 years old, you may use the Services only with the prior written permission of your parent or legal guardian, who must accept these Terms on your behalf and remain responsible for your use of the Services.
The Services are not directed to children under 13. We do not knowingly collect personal data from children under 13, and we apply the age and consent requirements described in Section 13 of our Privacy Policy. We may terminate any account we reasonably believe was created by a child below the applicable threshold.
3. Accounts and use of the App
3.1 Account registration
Some features require an account. You agree to provide accurate, current and complete registration information, to keep it accurate, and to keep your credentials confidential. You are responsible for all activity that occurs under your account, including activity by your workspace administrators and users you invite.
3.2 Workspace administration
Business workspaces are administered by a workspace owner. The administrator controls member access, roles, data visibility, retention settings and export rights. You are responsible for reviewing your workspace's member list and revoking access when it is no longer required.
3.3 Distribution through the App Stores
The App is distributed through the Apple App Store and Google Play under the applicable store terms, and installation of the App means you accept those store terms in addition to these Terms. We may modify, update or withdraw features of the App from time to time, and may withdraw the App from distribution at any time. Where an App update requires a new permission, you will be asked to grant it before the related feature becomes available.
3.4 Security obligations
You must not share a single set of credentials across organisations, must promptly notify us at support@mengtuyx.com of any suspected unauthorised access, and must enable multi-factor authentication where we make it available for your account tier.
4. Description of services
Maitu provides business services and software covering the following scope of business:
Cross-border business advisory, logistics supporting consultation, brand planning, general trading and e-commerce consultation.
Within that scope, the following lines are provided:
- Cross-border business advisory — market selection, regulatory read-through, expansion planning and written recommendations with costed implementation paths.
- Logistics supporting consultation — freight cost structure, route design, carrier strategy support and documentation guidance.
- Brand planning — positioning, naming, identity systems, packaging and launch calendars.
- General trading — sourcing, negotiation, purchase orders and settlement for wholesale and retail programmes.
- E-commerce consultation — channel strategy, storefront operations, localised listings and conversion improvement.
- Import and export coordination — customs documentation, certificates of origin, licence matching and liaison with freight partners and authorities.
- Supply chain operations support — inventory planning, supplier coordination, replenishment policy and control-tower reporting.
- Market and investment planning — demand modelling, budget frameworks and staged investment proposals.
4.1 The Maitu Mobile management app
The App is a first-class part of the Services and covers the full scope of business above. It provides, depending on your configuration and entitlements:
- real-time order management from quote through to settlement;
- inventory management across warehouses, categories and lanes;
- supply chain tracking with live milestones, exception alerts and delivery estimates;
- a consulting dashboard for advisory deliverables, owners and actions;
- investment planning with budget frameworks, scenarios and approvals;
- wholesale, retail and e-commerce commerce management.
Where you access client workspaces through the App, the App is a delivery channel for those services and does not change the scope of the underlying engagement, which is set out in the relevant signed agreement.
5. Licence and acceptable use
5.1 Licence granted
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable and non-sublicensable licence to install and use the App on devices you control, and to access the Website and the Services for your internal business purposes during the term of your subscription or engagement.
5.2 Acceptable use
You agree not to, and not to permit any third party to:
- copy, modify, translate, reverse engineer, decompile, disassemble or attempt to derive source code from the Services, except where that restriction is prohibited by law;
- resell, sublicense, rent, lease, lend or provide the Services to third parties, or make the Services available on behalf of another party without our written consent;
- use the Services to build a competing product, or to extract, scrape or harvest data from the Services for purposes other than permitted by your engagement;
- interfere with, disrupt or attempt to gain unauthorised access to the Services, the hosting infrastructure or any connected system;
- probe, scan or test the vulnerability of any system except with our written authorisation;
- upload malicious code, or content that is unlawful, defamatory, infringing, deceptive or that promotes discrimination or harassment;
- misrepresent your identity, impersonate another person, or use the Services for any fraudulent, misleading or unlawful purpose;
- process personal data in breach of applicable data protection law, including collecting special category data without a lawful basis;
- use the Services in breach of sanctions, export control or customs restrictions;
- circumvent, disable or interfere with the security, licensing, metering or advertising controls of the Services, including attempting to obtain impressions or revenue artificially;
- use automated means to access the Services except as expressly permitted under a written agreement with us.
6. Intellectual property
The Services, including the App, the Website, the Maitu name and marks, the design, code, documentation, artwork, data models and all other content and materials provided by or on behalf of Maitu, are owned by Maitu or its licensors and are protected by copyright, trade mark, patent and other intellectual property laws.
Except for the limited licence in Section 5.1, no rights are granted to you. You may not use our trade marks, logos or brand features without prior written permission, and you may not remove or obscure any proprietary notice in the Services.
You retain all rights in the business information, data and materials you upload to the Services ("Your Data"). You grant Maitu a worldwide, royalty-free, non-exclusive, sublicensable licence to host, copy, transmit, display and process Your Data solely to the extent necessary to operate, secure and support the Services for you and your authorised users. This licence ends when Your Data is deleted in accordance with Section 12.
You may export Your Data in a structured, commonly used format through the export tools we provide, subject to the entitlements in your plan.
7. Purchases, fees, subscriptions and refunds
7.1 Where you buy
Paid subscriptions and in-app purchases for the App are processed by the App Store or Google Play on our behalf. By completing a purchase you agree to the applicable store's terms, and the store, not Maitu, is the merchant of record for those transactions. Fees for business services are invoiced by Maitu under the relevant agreement.
7.2 Subscriptions
Subscriptions renew automatically for the period you select until you cancel. We will notify you before renewal where the store requires us to, and we will give you notice of any price change at least 30 days in advance. If you do not want a subscription to renew, cancel it in your store account settings at least 24 hours before the renewal date.
7.3 Refunds
Refunds for App Store and Google Play purchases are handled by the relevant store under its refund policy, and we will support your request accordingly. Where you have a direct arrangement with us, refunds are granted at our discretion, and consumed services, professional time and non-refundable third-party costs already incurred are normally deducted from any amount returned.
7.4 Taxes and withholding
Fees are exclusive of value added tax, sales tax, goods and services tax and withholding, which are payable by you where applicable. Where you are required to withhold tax from a payment to us, you must gross up the payment so that we receive the full amount we would have received had no withholding been required.
7.5 Late payment
Overdue amounts may accrue interest at the rate stated in the applicable agreement or, where none is stated, at 1.5% per month or the maximum rate permitted by law, whichever is lower, together with reasonable costs of collection.
8. Third-party services and advertising
8.1 Advertising
The App is supported by advertising. We integrate third-party advertising networks and SDK platforms, including Google AdMob, Google Ad Manager, Meta Audience Network, Unity Ads, AppLovin, ironSource (LevelPlay), Vungle/Liftoff, Pangle (TikTok for Business), Mintegral, Chartboost, AdColony, InMobi, Amazon Ads, Digital Turbine, Smaato, Fyber, Ogury, Criteo, Teads, Moloco, PubMatic and Magnite. The full list, the purpose of each integration and the route to opt out are set out in Section 9 of our Privacy Policy.
The App may present app open, rewarded video, interstitial, banner and native advertisements. Advertisements are selected by those networks under their own policies. We do not endorse any advertiser, product or service appearing in an advertisement, and we are not responsible for the content of advertisements or of any site an advertisement links to.
Where personalised advertising is used, it is subject to your consent where required by law. You can decline, withdraw consent, reset your device advertising identifier, or enable a recognised opt-out signal such as Global Privacy Control.
8.2 Third-party services
The Services may link to or integrate with third-party services, including the App Stores, payment providers, carrier and freight partners, and the advertising networks listed above. These services are provided by third parties under their own terms and privacy policies. We are not responsible for the acts, omissions, content or availability of any third party, and your use of them is at your own risk.
9. Disclaimer of warranties
Except as expressly stated in these Terms or in a signed agreement with us, the Services are provided "as is" and "as available". We disclaim all warranties, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or uninterrupted availability.
We do not warrant that the Services will be error-free, that they will function without interruption, that any result will meet your business objectives, or that third-party data, market information, freight rates, exchange rates or regulatory references provided through the Services are complete or current. Nothing in the Services constitutes legal, tax, customs, financial or investment advice, and you should obtain professional advice appropriate to your circumstances before relying on any output.
Beta features are clearly identified as such, may change without notice, and are provided without any warranty.
10. Limitation of liability
To the maximum extent permitted by law, and subject to the exclusions below, neither Maitu nor any of its directors, officers, employees, affiliates or agents will be liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for any loss of profit, revenue, goodwill, anticipated savings, business opportunity, data loss or loss of goodwill, however caused and whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising out of or in connection with the Services.
Our total aggregate liability arising out of or relating to the Services, whether in contract, tort or otherwise, is limited to the greater of: the total fees paid or payable by you for the Services in the twelve months preceding the event giving rise to the claim, or HK$5,000.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for any liability that cannot lawfully be limited or excluded, or for any liability arising under the consumer laws of a jurisdiction in which exclusion is not permitted.
11. Indemnity
You agree to indemnify, defend and hold harmless Maitu, its directors, officers, employees and agents from and against any third-party claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or relating to: your breach of these Terms; your use of the Services in a way that infringes the rights of a third party; Your Data or the content you upload; or your breach of applicable law, including export control, sanctions and customs obligations.
We agree to indemnify you against third-party claims that the Services, excluding Your Data and third-party content, infringe a third party's intellectual property rights, provided that you notify us promptly, permit us to control the defence, and allow us to modify or replace the affected item at our option.
12. Termination
You may stop using the Services and delete your account at any time through the in-app or account settings, or by writing to support@mengtuyx.com. We will process the deletion of Your Data in accordance with the retention schedule in our Privacy Policy.
We may suspend or terminate your access immediately, without notice, where we reasonably believe that you have breached these Terms, that your use of the Services creates a security or compliance risk, or that we are required to do so by law, an app store policy or a regulatory instruction. Where practicable, we will inform you and provide an opportunity to remedy the breach.
We may modify or discontinue any part of the Services, including removing features that are not commercially viable, on reasonable notice. Where a material change affects a paid subscription, we will offer a proportionate refund of the remaining term.
Provisions that by their nature should survive termination survive, including Sections 6, 8, 9, 10, 11, 13, 15 and 17.
13. Governing law and dispute resolution
These Terms and any dispute arising out of or in connection with them, whether contractual or non-contractual, are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
13.1 Good faith negotiation
Before commencing any formal proceedings, the parties will attempt in good faith to resolve the dispute through negotiation between representatives with authority to settle, within 30 days of written notice of the dispute.
13.2 Arbitration
Any dispute not resolved by negotiation shall be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its then-current arbitration rules, by one arbitrator, seated in Hong Kong, in English. The language of the arbitration shall be English. The existence of the arbitration, all materials exchanged and the award shall be confidential, save as required to enforce the award or as required by law. The seat of the arbitration is Hong Kong, and the courts of the Hong Kong Special Administrative Region have exclusive jurisdiction over any application to the courts in relation to the arbitration, subject to the HKIAC rules and any written agreement between the parties.
13.3 Injunctive relief
Nothing in this Section prevents either party from seeking urgent injunctive or other equitable relief from the courts of the Hong Kong Special Administrative Region to protect its intellectual property, confidential information or data.
14. International and export compliance
You agree to comply with all applicable laws relating to international trade, including the sanctions, embargoes, export controls, customs regulations, customs procedures and anti-boycott rules of Hong Kong, the European Union, the United Kingdom, the United States, the United Nations and any other jurisdiction in which you or your goods are located or moving.
- You will not request, and we will not provide, Services that would involve a prohibited destination, end user, end use or product.
- You will provide accurate information about the origin, classification, value and end use of goods, and you will obtain any licences or certificates required for your shipment.
- You will not ask us to falsify, misdescribe or omit information on customs declarations or certificates of origin.
- We may suspend or decline any instruction where we identify a compliance concern, and we will not be required to explain a refusal where disclosure would itself be prohibited.
- You will indemnify us against any penalty, seizure, fine or loss arising from your breach of this Section.
15. App store terms prevail
The App is distributed through the Apple App Store and Google Play. Your use of the App is also governed by the applicable Apple Media Services Terms and Conditions and Apple App Store Terms and Conditions, and the Google Play Terms of Service and Google Play Developer Distribution Agreement (each as amended from time to time).
Where a provision of these Terms conflicts with a term of the applicable store agreement in relation to your use of the App, the store agreement prevails to the extent of the conflict. Where a provision of these Terms conflicts with a term of the Google Play Terms of Service regarding the operation of the Google Play service itself, the store terms prevail.
We may change the App so that it continues to comply with the store policies, and we may discontinue functionality that the store requires us to change.
16. Changes to these terms
We may amend these Terms from time to time. We will publish the updated version on the Website with a revised effective date, and we will notify you by email, in the App or through the Website before any material change takes effect where we have a valid channel to reach you. Your continued use of the Services after the change takes effect constitutes acceptance of the amended Terms. If you do not accept the amended Terms, you must stop using the Services and notify us so that we can close your account and settle any outstanding amounts.
17. Miscellaneous
17.1 Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be deemed deleted. The remaining provisions continue in full force and effect.
17.2 Entire agreement
These Terms, together with our Privacy Policy and any agreement, order form or statement of work signed by both parties, constitute the entire agreement between us in relation to the Services and supersede all prior discussions, proposals and representations, whether written or oral.
17.3 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms to an affiliate, or in connection with a merger, reorganisation, financing or sale of assets, provided that your rights are not reduced. Any assignment is effective on notice.
17.4 Waiver
A failure or delay by us to enforce any right under these Terms is not a waiver of that right, and a single or partial exercise of a right does not prevent any further exercise of it.
17.5 Notices
Notices to us must be sent to support@mengtuyx.com or to our office at ROOM C19 12/F, TUNGTEX BUILDING, NO. 203 WAI YIP STREET, KWUN TONG, HONG KONG, and are deemed received when sent. Notices to you are sent to the email address on your account or displayed in the App.
17.6 Third-party rights
A person who is not a party to these Terms has no right to enforce any of its terms.
17.7 Language
These Terms are written in English. If a translation is provided for convenience, the English version prevails.
